1. Introduction
These Terms and Conditions ("Terms") govern access to and use of the website, mobile interfaces, and services operated under the name Audience 4 Hire("Audience 4 Hire", "the Company", "we", "us", or "our"), a business operating in the Republic of Kenya. These Terms are drafted with reference to the Constitution of Kenya, 2010, the Companies Act, 2015, the Data Protection Act, 2019, the Consumer Protection Act, 2012, the Public Order Act (Cap. 56), the Penal Code (Cap. 63), and the general law of contract of Kenya.
By accessing this website, registering as an audience member, or placing a booking through Audience 4 Hire, you ("the User", "you") agree to be bound by these Terms in full. If you do not agree to these Terms, you must not use our services.
2. Definitions
- "Services" means the audience coordination, boda boda convoy, and lawful civic/event staffing services offered by Audience 4 Hire, as described in Section 5.
- "Audience Member" / "Participant" means an individual who registers through the sign-up process to be considered for engagement at events.
- "Client" / "Customer" means any individual or corporate entity that submits a booking/order for the Services.
- "Event" means any gathering, rally, convoy, activation, or similar occasion for which the Services are booked.
- "Platform" means the Audience 4 Hire website and any associated digital interfaces.
- "Personal Data" has the meaning given to it under the Data Protection Act, 2019.
3. Acceptance of Terms
Use of the Platform, submission of a registration form, or submission of a booking constitutes acceptance of these Terms and any policies referenced herein. Where a User does not accept these Terms, that User must discontinue use of the Platform immediately.
4. Eligibility
The Services are open only to persons who have attained the age of majority under the Age of Majority Act (Cap. 33) of the Laws of Kenya, being eighteen (18) years of age or older. By registering or placing a booking, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding contract under Kenyan law.
5. Description of Services
Audience 4 Hire facilitates the coordination of:
- Audience Member / Hype Squad services — coordinated attendance for brand activations, launches, and similar events.
- Boda Boda Convoy services — coordinated motorcycle convoy presence for brand and promotional activities.
- Civic Event Staffing — logistics and coordination support strictly for lawful, peaceful civic events, rallies, and demonstrations conducted in accordance with Article 37 of the Constitution of Kenya (the right to assemble, demonstrate, picket, and petition public authorities peaceably and unarmed) and the Public Order Act (Cap. 56), including any applicable notification requirements to the relevant police authority.
Audience 4 Hire does not itself organize, fund, or direct any Event; it provides coordination and logistics services to Clients who remain solely responsible for the lawful conduct, planning, and execution of their Event.
6. Lawful Use Only — Prohibited Conduct
Audience 4 Hire supports only lawful, peaceful, and professionally organized activity. Without limiting the foregoing, Users and Clients must not use the Platform or Services to plan, request, facilitate, or participate in:
- Any unlawful assembly or riot as defined under the Penal Code (Cap. 63), Sections 78–82;
- Any act of violence, intimidation, property destruction, or threat thereof;
- Incitement to violence or hatred, including offences under the National Cohesion and Integration Act, 2008;
- Any demonstration or procession that has not complied with applicable notification requirements under the Public Order Act (Cap. 56);
- Any activity that would constitute an offence under the laws of Kenya.
Audience 4 Hire reserves the right to refuse, cancel, or terminate any booking or registration that it reasonably believes is connected to unlawful, violent, or harmful conduct, and to report such conduct to the relevant authorities where appropriate. All Clients booking civic event staffing services must confirm, and are solely responsible for ensuring, that their Event complies with all applicable notification and permit requirements.
7. Registration & User Obligations
Users registering as Audience Members must provide accurate, current, and complete information, including full name, phone number, gender, age bracket, location, and availability. Users are responsible for keeping this information up to date. Provision of false or misleading information may result in suspension or removal from the Platform.
By registering, Users confirm that they understand Audience 4 Hire admits only peaceful, lawful audiences and participants, and that registration and any subsequent engagement is entirely voluntary.
8. Nature of Engagement (Not Employment)
Audience Members engaged through the Platform are engaged on an independent, ad hoc, event-by-event basis. Nothing in these Terms, nor any engagement arising from them, creates an employment relationship, agency, partnership, or joint venture between Audience 4 Hire and any Audience Member for purposes of the Employment Act, 2007, or otherwise. Audience Members are responsible for their own tax obligations, including under the Income Tax Act (Cap. 470), arising from any payment received.
9. Pricing, Payment, Cancellation & Refunds
Prices for Services are displayed on the Platform at the time of booking and are quoted in Kenya Shillings (KSh), exclusive of any applicable taxes unless stated otherwise. Audience 4 Hire reserves the right to amend pricing at any time; changes will not affect bookings already confirmed. Cancellation, rescheduling, and refund requests are handled on a case-by-case basis and should be directed to Audience 4 Hire using the contact details in Section 20. Nothing in this section limits a consumer's rights under the Consumer Protection Act, 2012.
10. Data Protection & Privacy
Audience 4 Hire processes Personal Data in accordance with the Data Protection Act, 2019, and its subsidiary regulations. We collect Personal Data including name, phone number, email address, gender, age bracket, location, and event-related details, for the purposes of: (a) coordinating and delivering the Services; (b) communicating with Users and Clients regarding bookings and registrations; (c) internal record-keeping and administration; and (d) compliance with legal obligations.
We do not sell Personal Data to third parties. Personal Data may be disclosed to service providers assisting in the operation of the Platform, or to regulatory or law enforcement authorities where required by law. Personal Data is retained only for as long as reasonably necessary for the purposes above, or as required by law.
As a data subject, you have the rights set out under the Data Protection Act, 2019, including the right to be informed of the use of your Personal Data, the right to access your Personal Data, the right to correction of inaccurate data, the right to deletion of your Personal Data, and the right to object to processing. Requests may be made using the contact details in Section 20.
11. Intellectual Property
All content on the Platform, including logos, graphics, text, and software, is the property of Audience 4 Hire or its licensors and is protected under the Copyright Act, 2001, and the Trade Marks Act (Cap. 506) of the Laws of Kenya. Users may not reproduce, distribute, or create derivative works from Platform content without prior written consent.
12. Limitation of Liability
To the maximum extent permitted under the laws of Kenya, Audience 4 Hire, its directors, officers, employees, and agents shall not be liable for:
- Any injury, illness, death, or personal harm suffered by any Audience Member, Client, or third party in connection with an Event;
- Any loss of or damage to property arising from or in connection with an Event;
- The conduct, actions, or omissions of any Client, Audience Member, or third party at an Event, including any unlawful, violent, or negligent conduct by such persons;
- Any indirect, incidental, special, consequential, or punitive damages, including loss of profit, revenue, or business opportunity, arising out of or in connection with the Services;
- Any failure or delay in performance caused by circumstances beyond Audience 4 Hire's reasonable control (see Section 16, Force Majeure);
- The outcome, cancellation, disruption, or rescheduling of any Event, including by action of any public authority.
Nothing in these Terms excludes or limits liability for death or personal injury caused by Audience 4 Hire's own gross negligence or willful misconduct, or any other liability which cannot lawfully be excluded or limited under the laws of Kenya. Where liability cannot be excluded but may be limited, Audience 4 Hire's total aggregate liability arising out of or in connection with the Services shall not exceed the total fees paid by the Client for the specific booking giving rise to the claim.
13. Indemnification
Each Client and Audience Member agrees to indemnify and hold harmless Audience 4 Hire, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) their breach of these Terms; (b) their unlawful, negligent, or improper conduct at or in connection with an Event; or (c) any misrepresentation made in connection with a registration or booking.
14. Disclaimer of Warranties
The Platform and Services are provided on an "as is" and "as available" basis. To the extent permitted by law, Audience 4 Hire disclaims all warranties, whether express or implied, including any implied warranty of satisfactory quality or fitness for a particular purpose, save for any warranty that cannot lawfully be excluded under the Consumer Protection Act, 2012, or other applicable Kenyan law.
15. Suspension & Termination
Audience 4 Hire may suspend or terminate a User's registration, or refuse or cancel a booking, at its discretion, including where it reasonably suspects a breach of Section 6 (Lawful Use Only) or provision of false information. Users may request deletion of their registration at any time in accordance with Section 10.
16. Force Majeure
Audience 4 Hire shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including acts of God, civil unrest, government action, public order declarations, curfews, pandemics, or failure of third-party infrastructure.
17. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of Kenya. The parties shall first attempt to resolve any dispute arising out of or in connection with these Terms through good-faith negotiation. Failing resolution, either party may refer the dispute to arbitration under the Arbitration Act, 1995, or to the Courts of Kenya, which shall have exclusive jurisdiction, subject to the parties' right to seek redress before any tribunal of competent jurisdiction, including the Data Protection Commissioner in respect of data protection matters.
18. Severability
If any provision of these Terms is held by a court or tribunal of competent jurisdiction to be invalid or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force and effect.
19. Amendments to These Terms
Audience 4 Hire may amend these Terms from time to time. The updated Terms will be posted on this page with a revised "Last updated" date. Continued use of the Platform after such changes constitutes acceptance of the amended Terms.
